Carlisle Companies (Scottsdale, Arizona), parent company of Carlisle Construction Materials, announced last week (Oct. 2) that it has “entered a definitive purchase agreement” to acquire Accella Performance Materials (Maryland Heights, Missouri), the specialty polyurethane company under Arsenal Capital Partners.

Carlisle says that the acquisition—valued at $670 million—will add more than $400 million to its Building Envelope presence and allow the company to expand in the polyurethane market.

“The acquisition of Accella Performance Materials is part of our well-established strategy of providing customers with high quality, innovative solutions for building envelope applications,” said Carlisle’s President and Chief Executive Officer D. Christian Koch.

“Accella provides an excellent adjacent opportunity into the attractive polyurethane market, which includes Spray Polyurethane Foam and Liquid Applied Roofing. Both markets are expected to grow annually at 10-15 percent through 2020, outpacing broader construction market growth.”

Accella has a reported annual revenue of $430 million and will be considered part of the Construction Materials segment once the transaction is complete. Among Accella's products are lines in spray polyurethane foam roofing and protective coating systems, insulation systems and specialty products such as binders, elastomers, casting resins, surface and specialty coatings and adhesives.

“The combined Accella and Carlisle team will bring together significant engineering and industry expertise to create highly engineered solutions for our customers,” Koch continued. “We look forward to welcoming Accella’s talented team to Carlisle."
